Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE APPLYING FOR AND/OR PARTICIPATING IN THE MINI-CIRCUITS UNIVERSITY OUTREACH PROGRAM. THESE TERMS AND CONDITIONS INCLUDE, WITHOUT LIMITATION, LIMITATIONS ON OUR LIABILITY AND A BINDING ARBITRATION AGREEMENT THAT AFFECT YOUR RIGHTS. BY APPLYING FOR AND/OR PARTICIPATING IN THE MINI-CIRCUITS UNIVERSITY OUTREACH PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND ALL TERMS INCORPORATED BY REFERENCE HEREIN. IF YOU DO NOT AGREE TO SUCH TERMS, YOUR CHOICE IS TO NOT APPLY FOR, AND NOT PARTICIPATE IN, THE MINI-CIRCUITS UNIVERSITY OUTREACH PROGRAM.
1. Acceptance. The following terms and conditions (the “Program Terms”) apply to all applicants for and/or participants in the Mini-Circuits University Outreach Program (the “Program”) and constitutes a legal agreement between (a) Scientific Components Corporation (“Mini-Circuits”) and (b) you (“you”, “your” or “yourself”). By applying for or otherwise participating in the Program, you hereby agree that such application and/or participating will be subject to these Program Terms and you shall be deemed to have accepted and agreed to be bound by these Program Terms. In that regard, you represent and warrant that: (i) you have read, understood and agreed to be bound by the Program Terms; (ii) you have the power, authority and legal right to apply for and/or participate in the Program in accordance with these Program Terms on behalf of yourself; and (iii) these Program Terms are a valid, legal and binding obligation of you, enforceable in accordance with its terms. If you do not agree to these Program Terms, you cannot apply for or otherwise participate in the Program.
Mini-Circuits may amend these Program Terms from time to time, without notice, which amendments will be posted on this webpage and will become effective upon posting. It is your responsibility to review these Program Terms to determine if there have been any changes, which will be indicated by a revision to the effective date posted above. Your continued application for and/or participation in the Program after posting shall constitute your acceptance of and agreement to be bound by the amended Program Terms.
These Program Terms are in addition to and not intended to supersede: (i) any applicable written agreement(s) between Mini-Circuits and you; (ii) any of Mini-Circuits’ then applicable company policies; (iii) Mini-Circuits privacy policy, which is applicable and located here (the “Privacy Policy”); (iv) Mini-Circuits website terms of use, which are applicable and located here; (v) Mini-Circuits’ standard terms and conditions, which are applicable to any purchases of products from Mini-Circuits (other than sample products or EZ-Samples) and located here (the “Standard Terms”); and (vi) Mini-Circuits’ EZ-Sample Terms, which are applicable to any purchases of sample products or EZ-Samples from Mini-Circuits and located here (the “EZ-Sample Terms”) (the items referenced in (i)-(vi) are collectively referred to as the “MC Terms”). In the event there is any conflict between these Program Terms and the terms contained within any other applicable MC Terms, the terms which are more favorable to Mini-Circuits, as determined by Mini-Circuits, shall apply.
2. Eligibility. To be eligible for the Program, you must be either a full-time student who is currently enrolled in an electrical engineering program or major at an accredited college or university with a focus on RF and/or microwave, or a full-time faculty member in the electrical engineering department of an accredited college or university currently teaching an RF and/or microwave course. Mini-Circuits will review your application, and if Mini-Circuits determines that you meet the Program eligibility requirements and that no other restrictions apply, Mini-Circuits will update your account record to reflect your status as a Program member and send you a discount code to use for online orders and EZ Samples within one (1) year from your date of enrollment.
3. Restrictions. All applications are subject to verification and approval by Mini-Circuits in its sole discretion. Participation in the Program is at the sole discretion of Mini-Circuits, is non-transferable, and the offered discount cannot be combined with any other offer unless otherwise permitted by Mini-Circuits. In addition, certain products may be excluded in Mini-Circuits sole discretion.
Enrollment in the Program is only valid for a period of one (1) year following your date of enrollment. Upon the expiration of the one-year period, you must re-apply to the Program to continue to participate in the Program.
Mini-Circuits reserves the right to terminate, suspend, and/or modify the Program, any individual’s participation in the Program, or any offered discount at any time, with or without notice, and for any reason or no reason at all, including, without limitation, if Mini-Circuits suspects that an individual is conducting fraudulent activity to acquire or accumulate additional benefits or using Mini-Circuits’ products for non-educational purposes. Additional restrictions and terms and conditions may apply.
4. Disclaimer.
a. All training webinars, lectures, and educational resources provided by or on behalf of Mini-Circuits in connection with Program are provided for informational purposes only, are general in nature and not intended to address all circumstances that may arise, are not intended to and should not be relied upon, are provided “AS-IS” and “WITH ALL FAULTS”, and are being provided solely as an accommodation. No warranty, either expressed or implied, is made, to the accuracy and completeness of any of the information furnished or otherwise made available in connection with the training webinars, lectures, and educational resources, nor is any responsibility assumed or implied by or against Mini-Circuits or its affiliates for any loss or damage resulting from any errors, omissions, inaccuracies, mistakes, or deficiencies therein. Products referenced in any such materials should only be used by or under the supervision of trained personnel in accordance with the applicable manufacturer’s instructions. Before operating such products, you must read and save the applicable manufacturer’s user guides, notices, warnings, and safety instructions received with such products and be aware of all the risks associated therewith and best practices for operating them.
b. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MINI-CIRCUITS OR ITS AFFILIATES BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY DAMAGES WHATSOEVER IN CONNECTION WITH YOUR APPLICATION FOR AND/OR PARTICIPATION IN THE PROGRAM AND/OR YOUR USE OF THE TRAINING WEBINARS, LECTURES, AND EDUCATIONAL RESOURCES PROVIDED BY OR ON BEHALF OF MINI-CIRCUITS IN CONNECTION WITH PROGRAM, INCLUDING, WITHOUT LIMITATION, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, INCIDENTAL, COMPENSATORY, DIRECT, INDIRECT, COVER, OR SPECIAL DAMAGES, OR LOST PROFITS OR EXPENSES OF WHATSOEVER KIND AND NATURE, REGARDLESS OF WHETHER THE LIABILITY RESULTED FROM ANY GENERAL OR PARTICULAR REQUIREMENT OR NEED WHICH MINI-CIRCUITS OR ITS AFFILIATES KNEW OR SHOULD HAVE KNOWN OF. THIS LIMITATION OF LIABILITY WILL APPLY TO ANY CLAIM WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, WARRANTY OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER MINI-CIRCUITS OR ITS AFFILIATES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN THE EVENT THAT ANY TERM OF ANY AGREEMENT BETWEEN YOU AND MINI-CIRCUITS OR ITS AFFILIATES IS FOUND UNCONSCIONABLE OR UNENFORCEABLE FOR ANY REASON, THIS PROVISION OF WAIVER BY AGREEMENT OF CONSEQUENTIAL DAMAGES SHALL NEVERTHELESS CONTINUE IN FULL FORCE AND EFFECT.
5. Privacy Policy. You acknowledge and agree that you have read, understood, and agreed to Mini-Circuits’ Privacy Policy.
6. Miscellaneous.
a. You acknowledge and agree that all questions pertaining to the validity, construction, execution and performance of the Program Terms shall be construed and governed in accordance with the domestic laws of the State of New York (including, without limitation, the UCC), without giving effect to principles of (i) comity of nations or (ii) conflicts of law. The Program Terms shall not be governed by the provisions of the U.N. Convention on Contracts for the International Sale of Goods. Any controversy or claim arising out of or relating to the Program Terms or the Program shall be settled by arbitration in accordance with the Federal Arbitration Act, 9 U.S.C Sec. 1 et seq., and administered by the American Arbitration Association in accordance with its commercial arbitration rules. The arbitration proceedings shall be conducted in English, before a panel of three (3) neutral arbitrators. The place of the arbitration shall be in New York, New York. Any award in an arbitration initiated under these Program Terms shall be in accordance with New York law and may be entered into a federal or state court located in the United States of America, State of New York, County of Kings. In any arbitration initiated hereunder, the arbitrators will have no authority to award to you any consequential, exemplary, punitive, incidental, compensatory, direct, indirect, cover or special damages, or lost profits or expenses of whatsoever kind against Mini-Circuits or its affiliates.
b. The rights and obligations concerning the sale of products to you by Mini-Circuits (other than sample products or EZ-Samples) are governed by Mini-Circuits’ Standard Terms, which are applicable. You acknowledge and agree that in the event you purchase products from Mini-Circuits in connection with the Program, such purchase will be subject to Mini-Circuits’ Standard Terms and you will be deemed to have accepted and agreed to be bound by Mini-Circuits’ Standard Terms.
The rights and obligations concerning the sale of sample products or EZ-Samples to you by Mini-Circuits are governed by Mini-Circuits’ EZ-Sample Terms, which are applicable. You acknowledge and agree that in the event you purchase sample products or EZ-Samples from Mini-Circuits in connection with the Program, such purchase will be subject to Mini-Circuits’ EZ-Sample Terms and you will be deemed to have accepted and agreed to be bound by Mini-Circuits’ EZ-Sample Terms.
Notwithstanding any information or confirmation provided by Mini-Circuits, Mini-Circuits makes no guarantees or representations with respect to its inventory or the availability of any of Mini-Circuits’ products, sample products, or EZ-Samples.
c. Failure or delay by Mini-Circuits to enforce compliance with any term or condition of these Program Terms shall not constitute a waiver of such term or condition.
d. These Program Terms and the MC Terms constitute and contain the entire agreement between Mini-Circuits and you with respect to the subject matter hereof and thereof, and supersedes and replaces all prior agreements, prepared or otherwise, whether written or oral, concerning such subject matter.
